Alligator Bioscience AB’s (“Alligator” or the “Company”) rights issue of units (the “Rights Issue”) has now been registered with the Swedish Companies Registration Office (Sw. Bolagsverket) and paid subscribed units (Sw. betald tecknad unit, BTU) will thus be replaced by ordinary shares and warrants series TO 9. The last day for trading with BTU is 22 April 2024 and new shares and warrants are expected to be booked into the respective custodian/VP account on 26 April 2024.
Through the Rights Issue, which ended on 5 April 2024, Alligator received approximately SEK 107.1 million before deduction of issue costs, and in December 2024, the Company may receive additional proceeds if the warrants series TO 9 issued in the Rights Issue are exercised for subscription of ordinary shares.
The Rights Issue has now been registered with the Swedish Companies Registration Office and paid subscribed units (BTU) will be replaced by ordinary shares and warrants series TO 9. The last day for trading with BTU on Nasdaq Stockholm is 22 April 2024 (instead of 25 April 2024 as previously communicated), and the stop date with Euroclear Sweden AB is 24 April 2024, whereafter shares and warrants will be booked in each shareholder’s VP account/depository on 26 April 2024. The warrants will be traded with ISIN code SE0021629557 and the first day of trading is expected to be 26 April 2024.
As a result of the Rights Issue, Alligator’s share capital increases by SEK 80,067.9568 to a total of SEK 607,191.2688 and the total number of shares increases by 100,084,946 shares to a total of 758,989,086 shares, whereof 758,039,236 are ordinary shares and 949,850 are series C shares. Upon full utilization of all the 100,084,946 warrants series TO 9 issued in the Rights Issue, the share capital will increase additionally by a maximum of SEK 80,067.9568 to SEK 687,259.2256 through the issuance of a maximum of 100,084,946 new ordinary shares, resulting in that the total number of shares in the Company will increase further from 758,989,086 shares to 859,074,032 shares, whereof 858,124,182 are ordinary shares and 949,850 series C shares.
